Edward H. Bersoff, Ph.D. - Board Member

Dr. Edward H. Bersoff is the chairman and founder of Greenwich Associates, a business advisory firm located in northern Virginia. Earlier, he was Managing Director of Quarterdeck Investment Partners, LLC, a Los Angeles-based investment bank providing investment banking services to clients within the aerospace, defense, information technology, space and technical services marketplaces. He also served as chairman of Re-route Corporation, a company that offers email forwarding and address correction services to individuals who are changing their email addresses.

Dr. Bersoff was Chairman, President and CEO of BTG, Inc., an information technology firm he founded in 1982. BTG provided computer-based solutions to government and commercial clients, specializing in analysis and consulting, solutions development, systems integration, and operations and support. BTG was named to the Inc. 500 list of fast growing private companies for three years and the Washington Technology "Fast 50" for four years. The company's common stock was listed as BTGI on the Nasdaq National Market. In November 2001, BTG was acquired by the Titan Corporation, a NYSE (TTN) listed company. Dr. Bersoff was elected to the Board of Titan in February 2002. In addition, Dr. Bersoff serves on other boards of other public (EFJI - NASDAQ, FRGO - NASDAQ) and private companies. He is also the Lead Director at Fargo Electronics.

Dr. Bersoff holds A.B., M.S. and Ph.D. degrees in mathematics from New York University and is a graduate of the Harvard Business School's Owner/President Management Program. He was selected Virginia's Outstanding Industrialist for 1999 by the Commonwealth of Virginia and the Science Museum of Virginia, and was presented the 1999 Distinguished Leadership Award by the Washington Chapter of the American Jewish Committee. In 1996, he was selected to the Fed 100 by Federal Computer Week newspaper and the Armed Forces Communications and Electronics Association, honoring 100 technology professionals from government and industry. He was also chosen from industry representatives to receive the Eagle Award for his role in the federal government's effective use of information technology. Also in 1996, the Federation of Citizens Associations and the Washington Post named him the Fairfax County Citizen of the Year for his contributions to education. In 1995, the Northern Virginia Community Foundation presented Dr. Bersoff with its Founders Award for outstanding community service.

Scott J. Troeller - Board Member

Scott Troeller is a Partner of Veronis Suhler Stevenson and a Managing Member of the General Partner of the Fund. He is actively involved in all aspects of VSS's activities including new business development, portfolio management and monitoring, fund raising and operations of the firm. Mr. Troeller also sits on the investment committees of VSS III, VSS IV and Mezzanine Partners. Mr. Troeller has approximately 15 years of investment and transactional experience across a broad range of media and information sectors, including: business information services; business-to-business publishing; trade shows and exhibitions; educational publishing; radio and television broadcasting; consumer magazine publishing; and wireless communications towers. Mr. Troeller has played an active role in many of the VSS investments, including The Official Information Company, Hemscott plc, Previsor, DOAR Communications, Ascend Media, Riviera Broadcasting and Golden State Towers. He has served or is currently serving on the boards of all of the aforementioned companies. More recently, he has led VSS's efforts in several recent investments, including Ipreo, Cambium Learning and the pending acquisition of Advanstar Communications.

Prior to joining VSS in 1996, Mr. Troeller was an investment banker with JP Morgan & Co., where his primary focus was on merger and acquisition advisory work in the Media industry.

Mr. Troeller is a graduate of Rutgers College.

Jeffrey T. Stevenson - Board Member

Jeffrey T. Stevenson is the Managing Partner and Co-Chief Executive Officer of Veronis Suhler Stevenson, a private equity fund with $2.5 billion of capital under management. VSS manages equity and Structured Capital funds dedicated to companies engaged in the media, communications and information industries. He joined the Firm in 1982 shortly after its formation and has been the head of its private equity business since its first investment in 1989. Mr. Stevenson serves as the President of each of the Equity Funds, approves all capital commitments, and directs the investment activities of the Equity Funds. Previously, Mr. Stevenson was Executive Vice President in charge of corporate finance at VSS, a department he founded.

Mr. Stevenson currently serves as a Director of Xtreme Information, Access Intelligence, Infobase Publishing, User Friendly Phone Books, Market Strategies, ITN Networks, TMP Worldwide, Medizine, Cambium Learning and Southern Theatres. Previously, he served as a Director of The Official Information Company, Centaur Communications, Birch Telecom, ITE Group, Pepcom, Yellow Book USA, Rifkin Acquisition Partners, Triax Midwest Associates, Broadcasting Partners Holdings, Spectrum Resources Towers, PJS Publications, Kansas Broadcasting Systems, B&B Merger Corporation, Cable Management Ireland, International Media Partners, Hughes Broadcasting Partners, Triax Southeast Associates, Canon Communications, Hanley Wood, De Telefoongids, Mediatel and Broadcasting Partners.

Mr. Stevenson holds a BA from Rutgers College.

David Bainbridge - Board Member

Mr. Bainbridge is responsible for sourcing, developing, and monitoring private equity and mezzanine debt investments in the professional and educational publishing and business information services industries. Since joining VSS in 2003, he has been active in the firm's investments in Solucient (sold to Thomson Corp.), Infobase (formerly Facts on File), DOAR Communications, Gallo Holdings, and MediZine LLC. Mr. Bainbridge is currently a Director of Infobase and MediZine. Before joining VSS, Mr. Bainbridge spent 10 years as an investment banking professional, most recently with Berkery Noyes & Co., specializing in various institutional publishing and information segments. In the mid-1990s he worked with Scott-Macon, a New York-based M&A boutique, in their Media, Communications and Publishing Group. Additional transactions that he participated in include Ascend Media's acquisition of SynerMed, the original mezzanine investment in Schofield Media, and the sale of Ringtail Solutions to FTI Consulting.

Mr. Bainbridge is a graduate of Cornell University and an honors graduate of the Stern School of Business at New York University.

Kevin S. Waldman - Board Member

Since joining Veronis Suhler Stevenson in 1996, Mr. Waldman has worked on a broad range of transactions in numerous sectors within the media and communications industries including directory publishing, radio and television broadcasting, cable television, business information, marketing services, wireless communication towers and telecommunication services. Mr. Waldman has been active across a range of VSS portfolio companies, including ITN Networks, DOAR Communications Inc., Riviera Broadcast Group, GoldenState Towers, User-Friendly Phone Book, Birch Telecom, Broadcasting Partners Holdings, Spectrum Resources Towers and Triax Midwest Associates. Mr. Waldman currently serves as a member of the Board of ITN Networks, User-Friendly, DOAR Communications Inc. and Riveira Broadcast Group. He previously served as a member of the Boards of GoldenState Towers and ionex Telecommunications. Prior to joining VSS, Mr. Waldman spent four years at JP Morgan & Co., culminating as an associate in the Media, Telecommunications and Technology Group.

He holds a BS degree from Syracuse University.

Nicholas Croce - Board Member

Nicholas Croce, president of Inference Data, has led the creation and development of Inference, the company's next-generation analytics software for electronic discovery. By developing a strategic partnership with Autonomy, Inference's use of the Autonomy IDOL™ engine has made it the legal industry's most advanced data mining and analytical software.

Prior to forming Inference, Mr. Croce served as president of Doar Litigation Consulting, where he was responsible for driving Doar's introduction of groundbreaking technologies for courtroom presentation used by the nation's largest law firms and Fortune 1000 corporations. Mr. Croce was also directly involved in helping set industry standards for courtroom technology within the Administrative Office of the U.S. Courts (AOUSC). To support Doar's national expansion, he spearheaded the acquisition of private and public funding.

Mr. Croce graduated from Hofstra University with a B.S. in Electrical Engineering, with a concentration in Computer Engineering and dual minors in Mathematics and Computer Science. An expert in the use of technology in support of litigation, Mr. Croce is a frequent keynote speaker at industry events and has been recognized with awards by both local and national organizations, including Deloitte and Ernst & Young. He currently serves on several industry and not-for-profit boards, including the Engineering Industrial Advisory at Hofstra University and the Legal Aid Society's Technology Advisory Board.
